Terms and Conditions

1. Scope & Contracting Party

These General Terms and Conditions (Allgemeine Geschäftsbedingungen, AGB) apply to all contracts between Michel Wolf, Hinterdeich 52, 21129 Hamburg, Germany (hereinafter “Linknetz” or “we”) and the users of the service available at linknetz.de (hereinafter “user” or “you”). They apply both to the free Basic version and to the paid Pro subscription.

The service is aimed both at consumers (Verbraucher) within the meaning of Section 13 of the German Civil Code (BGB) and at entrepreneurs (Unternehmer) within the meaning of Section 14 BGB. Deviating, conflicting or supplementary terms and conditions of the user do not become part of the contract unless we expressly agree to their validity in writing.

The offer is directed exclusively at persons aged 18 and over. By registering, the user confirms that they are at least 18 years old.

2. Description of Services

Linknetz provides users with a customizable “bio link” profile page at their own address (linknetz.de/yourname), through which several external links can be bundled and made accessible to visitors.

Depending on the plan chosen, the service comprises in detail:

Free plan (free of charge): up to 10 links, one of which can be visually highlighted, your own profile URL, profile picture and short description, all 7 design templates for your page, headings, texts, social icons and dividers on your page, anonymized click statistics as totals for the last 7 days (profile views and link clicks), “Erstellt mit Linknetz” (Made with Linknetz) branding.
Pro plan (paid): additionally unlimited links, any number of which can be visually highlighted, anonymized click statistics for up to 12 months (selectable 7 days, 30 days or 12 months, per link), legal notice (Impressum) directly in Linknetz, custom design of the profile page (colors, font, buttons, background), images on the profile page (image blocks, preview images and descriptions for links, background image), embedded videos and music from YouTube, Vimeo, Spotify and SoundCloud, removal of the Linknetz branding and prioritized email support.

The services and prices currently available for booking are set out in the price overview on the order page at the time of the order. We endeavor to operate the service with an availability of 99% on an annual average; beyond this commitment to endeavor, there is no entitlement to a particular availability, in particular not during maintenance work, force majeure or disruptions beyond our control.

We may unlock Pro features for individual users free of charge on a case-by-case basis. There is no entitlement to this. Such an unlocking may be time-limited; we may end it for the future with seven days’ notice, and for good cause (wichtiger Grund) (in particular in the event of a breach of section 5) also with immediate effect, and will inform the user of this by email. When it ends, the Free plan applies again; section 9 (the last two paragraphs, end of the Pro subscription) applies accordingly. Content is not deleted as a result.

3. Conclusion of Contract & Registration

Using Linknetz requires registration with a valid email address. By submitting the registration form and actively accepting these Terms (checkbox), the user makes a binding offer to conclude a user agreement. We accept it by creating the account; we then send the user an email to confirm their address. The user can log in as soon as they have confirmed their address.

For the paid Pro subscription, the following also applies: by presenting the Pro plan on the order page, we make the user a binding offer to conclude the Pro subscription. The contract is concluded when the user clicks the button “Order now with obligation to pay” there (on the German order page “Jetzt zahlungspflichtig bestellen”). Before clicking, they can review their details and correct them using the browser’s back function. The contract can be concluded in German or English. The contract language is the language of the page on which the order is placed or the registration is made. Both language versions of these Terms are equally binding.

We then redirect the user to our payment service provider Stripe, where they store their payment method. Pro is unlocked as soon as the payment has been successfully authorized. If the user does not complete the payment within 24 hours of the order, the contract lapses (condition subsequent, auflösende Bedingung); no costs are incurred.

We store the contract text and send the user the contract details, these Terms and the withdrawal policy (Widerrufsbelehrung) by email. The contract text cannot be accessed in the customer account.

4. Prices, Payment & Price Changes

All prices stated are gross prices including statutory VAT (Umsatzsteuer). The Pro subscription is billed monthly or yearly in advance, depending on the period chosen, via our payment service provider Stripe. The subscription renews automatically — the monthly subscription by one month at a time, the yearly subscription for an indefinite period after the initial term of one year has expired (see section 9) — unless it is canceled beforehand.

The Pro subscription costs €2.99 per month or €24 per year, in each case including statutory VAT. For an existing Pro subscription, the price agreed when the contract was concluded applies for as long as the subscription continues. Switching between monthly and yearly billing within a running subscription is not possible: anyone who wishes to change the billing period cancels the subscription at the end of its term and then takes out a new subscription at the price applicable at that time.

Price changes apply only to newly concluded subscriptions. We do not increase the price of a running Pro subscription.

5. Obligations of the User & Prohibited Content

The user is solely responsible for all content that they publish or link to via their Linknetz profile page (e.g. profile name, short description, profile picture, images, headings, texts, embedded videos and music, linked target URLs). This also applies to the information in a legal notice (Impressum) that the user creates via Linknetz. Linknetz does not check this information for accuracy or completeness and does not provide legal advice. In particular, it is prohibited to provide or link to content via Linknetz that

violates applicable law (including criminal content, incitement to hatred (Volksverhetzung), child pornography);
infringes the rights of third parties (copyright, trademark law, personality rights, data protection);
constitutes or links to malware, phishing pages or fraudulent offers;
calls for harassment, hate speech, discrimination or the glorification of violence;
contains misleading advertising or prohibited gambling offers;
is pornographic or sexually explicit or advertises offers whose focus is such content – even if this content is not punishable by law;
violates public morals (gute Sitten).

The user enters link targets directly, not via redirect addresses.

The user only uploads images to which they hold the necessary rights (in particular copyright and rights of use). If persons are identifiably depicted in an image, the user obtains their consent where this is required. The user grants Linknetz a simple (non-exclusive), free-of-charge right in the uploaded images, limited to the provision of the service, to store the images, process them technically (in particular to reduce their size and convert them into another file format) and to make them publicly accessible on their profile page. This right ends when the image or the account is deleted; a deleted image may remain in our backups for up to about one week.

The user only embeds videos and music that are lawfully accessible on the respective platform (YouTube, Vimeo, Spotify, SoundCloud) and whose embedding is permitted by the platform and the rights holder. The content is not stored by Linknetz but is loaded by the platform’s player during playback; whether an embedded item is available and how it can be played is determined solely by the platform. Anyone who uses Linknetz on a business basis (see the following paragraph) also names the embedded platforms, the two-click solution and a possible transfer to third countries such as the USA in their own privacy policy.

Anyone who uses Linknetz on a business basis (geschäftsmäßig) — for example for a company, a self-employed or freelance activity or an offer for remuneration — ensures themselves that their profile page receives its own legal notice (Impressum) and its own privacy policy, insofar as this is required by law. Linknetz provides tools for this (a reference to their own legal notice and privacy page, in the Pro plan also a legal notice directly in Linknetz), but does not check whether such an obligation exists or has been fulfilled. The platform legal notice and the platform privacy policy of Linknetz in the footer of every profile page do not replace this information.

The user indemnifies us against all claims by third parties asserted against us on the basis of a breach of their obligations under this section, including reasonable costs of legal defense. This does not apply insofar as the user is not responsible for the breach of duty.

6. Notice and Takedown Procedure

Anyone who believes that unlawful content, or content not permitted under section 5, is being disseminated via a Linknetz profile page can report this via our report form (link “Missbrauch melden” (report abuse) in the footer of every profile page) or at support@linknetz.de (our single point of contact under Art. 11 and 12 DSA, see legal notice (Impressum) (in German)) with a sufficient description of the violation (affected profile URL, type of violation, contact details).

After receiving a sufficiently specific notice, we review the reported content without undue delay. The same applies if we otherwise become aware of unlawful content or content not permitted under section 5, or identify it in our own review. If it turns out that content violates applicable law or these Terms, we are entitled, depending on the severity of the violation,

to deactivate the affected link or profile content,
to hide the profile from the public,
to block the target address of removed or deactivated content for the affected user account, so that it cannot be stored again either as a link or in another profile block; the block only concerns the objected address and is lifted as soon as we withdraw the measure,
to suspend the user account until we have decided on the continuation of the contract, or
to terminate the user agreement for good cause (wichtiger Grund) (Section 314 BGB).

As a rule, we announce the hiding of the profile, an account suspension and a termination in advance in text form (Textform), state the reason and give the opportunity to comment within 7 days; we then decide anew, taking the statement into account. Without prior announcement, we hide, suspend or terminate only if waiting is unreasonable, for example in the case of phishing, malware, criminal content or a danger to visitors. If the good cause consists of a breach of contract, we terminate only after an unsuccessful warning (Abmahnung); the announcement under sentence 1 counts as a warning, a suspension without prior announcement does not. A warning is not required in the cases of Section 314(2) sentences 2 and 3 BGB; in that case we state the reason in the termination. If the user cannot log in because of a suspension, they remedy a violation by telling us at support@linknetz.de which content we should remove or change; we implement this for them.

During an account suspension due to a violation, a running Pro subscription does not renew; if we lift the suspension before the end of the current billing period, it continues unchanged. We communicate a termination in text form, stating the reasons and the date on which it takes effect; it takes effect 14 days after the notification. A running Pro subscription ends immediately upon the notification and no longer renews. Until the termination takes effect, the account remains suspended; thereafter we delete it with all content. Until then, the user can request a copy of their data at support@linknetz.de.

If we terminate under this section the contract of an account for which a Pro subscription was paid, we refund the portion already paid for the period from the day on which the user can no longer use Linknetz as agreed (hiding of the profile, account suspension or termination, whichever occurs first), for all affected billing periods, even if the Pro subscription has already ended at the time of the termination, calculated to the day, within 14 days to the original means of payment; claims for damages remain reserved. The affected user is informed in text form of every measure and its reason and can comment at support@linknetz.de. Decisions on measures under this section are made by a human at our company, not by an automated procedure.

We enforce some rules automatically, without case-by-case review: addresses of redirect services and pages (e.g. l.facebook.com, google.com/url) cannot be stored as a target; an address blocked by us (see above) is rejected when saving; videos and music can only be embedded from the platforms named in section 2. The rejection is shown when saving; questions to support@linknetz.de.

7. Availability, Changes & Support

We continuously develop Linknetz and reserve the right to change, extend or discontinue individual features, insofar as this is reasonable for the user, taking our interests into account. Core features already promised within the respective plan (e.g. unlimited links in the Pro plan) will not be withdrawn from existing Pro subscribers without a reasonable transition period.

Maintenance work may lead to brief periods of unavailability. We endeavor to schedule plannable maintenance windows outside peak usage times.

8. Liability

We are liable without limitation for intent and gross negligence and in accordance with the German Product Liability Act (Produkthaftungsgesetz). We are likewise liable without limitation for damage resulting from injury to life, body or health.

In the event of a slightly negligent breach of an essential contractual obligation (cardinal obligation, Kardinalpflicht), the fulfillment of which makes the proper performance of the contract possible in the first place and on compliance with which the user may regularly rely, liability is limited in amount to the damage that was foreseeable and typical for the contract at the time the contract was concluded. Otherwise, liability for slight negligence is excluded.

We assume no liability for content that users publish or link to via their profile pages, and no liability for the availability or content of external third-party target websites linked to (see also section 6 of the legal notice (Impressum) (in German)).

9. Term & Termination

The Free plan is unlimited in time and can be ended at any time without notice period (e.g. by deleting the account in the account settings).

If the user does not confirm their email address within 7 days of registration and has, during this time, neither created links nor uploaded a profile picture nor taken out a Pro subscription, the user agreement ends automatically and we delete the account. The chosen profile name thereby becomes available again.

The monthly Pro subscription runs for an indefinite period and renews automatically by one further month at a time unless it is canceled in good time. It can be terminated by either party at any time with effect from the end of the current billing period.

The yearly Pro subscription has an initial term of one year. Within this initial term, ordinary termination (ordentliche Kündigung) is possible with effect from the end of the initial term. Thereafter, the subscription renews automatically and continues for an indefinite period; it can then be terminated with a notice period of no more than one month (Section 309 no. 9(b) BGB). In practice, we implement a termination after the initial term has expired immediately: the subscription ends immediately upon receipt of the termination notice, and from that point the account continues as a free Free plan.

In this case, we refund the portion already paid but not yet used, calculated to the day, within 14 days of receipt of the termination notice to the original means of payment.

If the user deletes their account during a running Pro subscription or has it deleted at their request, the subscription ends immediately upon deletion; the deletion also counts as termination. We refund the portion already paid but not yet used, calculated to the day, within 14 days of the deletion to the original means of payment. The statutory right of withdrawal remains unaffected; after the deletion, however, the withdrawal can no longer be declared in the account, but only in one of the ways set out in the withdrawal policy (Widerrufsbelehrung) (e.g. by email or with the model withdrawal form).

In all cases, termination can conveniently be declared via the “Cancel your contract here” button in the account settings (Settings → Plan), via the Stripe customer portal or, after logging in, via the page “Cancel contracts here” (linknetz.de/en/kuendigen), which is linked in the footer of every page; an ordinary termination declared there is implemented by us immediately for a running, paid subscription, unless a later date is requested; otherwise we review it manually. The termination can also be declared in text form (Textform), e.g. by email to support@linknetz.de. The right to extraordinary termination for good cause and the statutory right of withdrawal under the withdrawal policy remain unaffected.

If the Pro subscription ends, a legal notice (Impressum) that has already been created remains visible. The user can continue to change or delete it; it remains stored until they delete it or delete their account.

Uploaded images (image blocks, preview images, background image), embedded videos and music as well as descriptions of links remain stored after the end of the Pro subscription, but are no longer displayed on the profile page. With a new Pro subscription, they become visible again. After the end of the Pro subscription, if several links are highlighted, only the first one displayed in the order of the profile page remains highlighted; the other highlights remain stored and take effect again with a new Pro subscription. The user can delete this content at any time; when the account is deleted, it is deleted as well.

10. Data Protection

Information on the processing of personal data can be found in our privacy policy (Datenschutzerklärung).

11. Final Provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If the user is a consumer, this applies only insofar as the protection granted by mandatory provisions of the law of the state in which the consumer has their habitual residence is not thereby restricted.

Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
